Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "Merchant") and FoodicsPays Ltd. ("FoodicsPays", "we", "us"). By creating an account or using our services, you agree to these Terms. This is a sample agreement provided for illustrative purposes.

1. The services

FoodicsPays provides payment acceptance and related software, including in-store terminals, online checkout, a payment gateway, payment links, invoicing, reporting and a merchant dashboard (collectively, the "Services"). We may add, change or remove features from time to time.

2. Eligibility & accounts

To use the Services you must be a business legally able to enter into contracts in your jurisdiction. You agree to provide accurate information during onboarding, including details required for identity and business verification ("KYC"). You are responsible for keeping your account credentials secure and for all activity under your account.

3. Acceptable use

You agree to use the Services only for lawful business purposes and not to:

• Process transactions that are fraudulent, illegal, or that you are not authorized to accept;
• Sell goods or services prohibited by card network rules or applicable law;
• Misrepresent your business or the nature of a transaction;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Services.

4. Fees & settlement

You agree to pay the fees set out in your pricing plan or order form. Unless stated otherwise, processing fees are deducted before settlement. Settlement of funds to your designated bank account is typically made on the next business day, subject to verification, risk checks and applicable holds.

5. Refunds, disputes & chargebacks

You are responsible for resolving disputes with your customers and for any chargebacks, refunds and associated fees. We may debit your account or withhold settlement to cover chargebacks, refunds, fines or reversals.

6. Risk & reserves

To manage risk, we may delay settlement, create a reserve, or suspend your account where we reasonably believe there is elevated risk, suspected fraud, or a breach of these Terms or card network rules.

7. Compliance

You agree to comply with all applicable laws, card network rules and the Payment Card Industry Data Security Standard (PCI DSS) as they apply to your business.

8. Intellectual property

FoodicsPays and its licensors own all rights in the Services and related software, trademarks and content. We grant you a limited, non-exclusive, non-transferable license to use the Services during the term of this agreement.

9. Termination

Either party may terminate with notice as described in your plan. We may suspend or terminate access immediately for material breach, suspected fraud, or where required by law or card networks. On termination, we will help you export your data, subject to legal retention requirements.

10. Disclaimers & limitation of liability

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FoodicsPays disclaims all warranties not expressly stated, and our aggregate liability is limited to the fees you paid to us in the three months preceding the event giving rise to the claim.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes, and continued use of the Services after changes take effect constitutes acceptance.
